These Terms of Service ("Terms") constitute a legally binding agreement between you and PropBrain, Inc. ("PropBrain," "we," "our," or "us"), a corporation incorporated under the laws of the State of California. These Terms govern your access to and use of our website at propbrainai.com, our AI-powered property intelligence platform, and all related services, features, content, and applications (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
These Terms apply to all visitors, users, and others who access or use the Services. If you are accessing or using the Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms include both you as an individual and that entity. If you do not have such authority, you may not use the Services on behalf of that entity.
We reserve the right to update or modify these Terms at any time at our sole discretion. We will notify you of material changes by email to the address associated with your account or by posting a notice on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. If you do not agree to any changes, you must stop using the Services.
PropBrain provides an AI-powered property intelligence platform that delivers real estate market analytics, property valuation estimates, investment analysis tools, market trend forecasting, and related data and software services to real estate investors, analysts, developers, and other professionals. The specific features and capabilities available to you depend on your subscription plan and the terms of any applicable order form or enterprise agreement.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content. We will use commercially reasonable efforts to provide advance notice of material changes or discontinuations that would materially affect your use of the Services.
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep that information updated. You must be at least 18 years of age to create an account and use our Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account at security@propbrainai.com. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
Unless expressly permitted under your subscription plan, you may not create multiple accounts for the same individual user, share your account credentials with others, or allow multiple users to access the Services through a single account.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription term.
You agree not to use the Services to:
Access to the platform features requires a paid subscription. The fees for your subscription are set forth in your order form or as displayed at the time of purchase. All fees are stated in US dollars and are non-refundable except as expressly provided in these Terms or required by applicable law.
You authorize us to charge your designated payment method for all fees associated with your subscription. You agree to keep your payment information current and accurate. If we are unable to charge your payment method, we may suspend or terminate your access to the Services.
Subscriptions automatically renew at the end of each subscription term unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at billing@propbrainai.com. Cancellation takes effect at the end of the current billing period; you will continue to have access to the Services until the end of the period for which you have paid.
We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of price increases to current subscribers. Your continued use of the Services after the effective date of a price increase constitutes your acceptance of the new pricing.
The Services, including all software, algorithms, models, data, analytics, content, trademarks, logos, and other materials made available through the Services, are the exclusive property of PropBrain and its licensors and are protected by copyright, patent, trademark, trade secret, and other intellectual property laws. Nothing in these Terms transfers any ownership of PropBrain's intellectual property to you.
You retain ownership of any data, content, or materials you upload to or create using the Services ("User Content"). By uploading or submitting User Content, you grant PropBrain a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process your User Content as necessary to provide the Services and as described in our Privacy Policy.
If you provide us with suggestions, ideas, or other feedback about our Services ("Feedback"), you grant us an irrevocable, perpetual, worldwide, royalty-free license to use that Feedback in any manner without restriction or obligation to you.
PropBrain's valuations, forecasts, market analyses, and other analytical outputs are generated by AI and machine learning models and are provided for informational and decision-support purposes only. They do not constitute certified real estate appraisals, investment advice, legal advice, or tax advice. You should not rely solely on PropBrain's outputs when making investment, lending, or other significant financial decisions.
We strive to maintain high data quality and model accuracy, but we make no warranty that our data is complete, accurate, or current. Real estate markets are inherently unpredictable, and our forecasts involve assumptions and estimates that may prove incorrect. Actual property values and market conditions may differ materially from our estimates and projections.
You acknowledge that you are responsible for independently verifying any information you obtain from the Services and for making your own investment decisions based on your analysis, your advisors' counsel, and your own risk tolerance.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROPBRAIN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY DATA, VALUATION, FORECAST, OR OTHER ANALYTICAL OUTPUT PROVIDED THROUGH THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PROPBRAIN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) $100 USD.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGE, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless PropBrain and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Services; your violation of these Terms; your violation of any applicable law or regulation; or your violation of any third-party rights, including intellectual property rights.
Either party may terminate these Terms and your access to the Services at any time. We may suspend or terminate your account immediately and without notice if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a security risk. Upon termination, your license to use the Services ends immediately, and you must cease all use of the Services. Sections 6 (Intellectual Property), 7 (Data Accuracy and Analytical Disclaimers), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution) will survive any termination.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
Before filing any formal legal action, you agree to attempt to resolve any dispute informally by contacting us at legal@propbrainai.com and allowing 30 days for us to try to resolve the dispute. If we are unable to resolve the dispute informally, either party may pursue formal legal remedies.
FOR DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS, YOU AGREE TO RESOLVE THEM THROUGH BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT FOR DISPUTES THAT MAY BE BROUGHT IN SMALL CLAIMS COURT. YOU ALSO AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable order form or enterprise agreement, constitute the entire agreement between you and PropBrain regarding the Services and supersede all prior or contemporaneous agreements, representations, and understandings.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce that provision in the future.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms and our rights and obligations under them without restriction.
